1. Agreement and parties

This Seller Commission Agreement is between Suhail A K, individual operator of Ente Peedika in Kerala, India (“Ente Peedika”), and the individual or business accepting the commission plan (“Seller”). It supplements the Ente Peedika Terms & Conditions and applies only to commission-plan sellers. By affirmatively accepting, the Seller agrees to the terms below.

2. Commission plan and protected rate

The commission rate is 10% of eligible completed order value. No fixed monthly or six-month subscription fee applies to this plan unless a separate additional service is expressly accepted. The agreed commission percentage is recorded at activation and remains unchanged while the Seller continues on the same plan in good standing, including subsequent billing periods. New sellers may be offered different rates; existing Sellers cannot be moved to a higher rate without express agreement.

3. Eligible completed orders

A completed order is an order generated through the Seller's Ente Peedika storefront that has been successfully fulfilled and for which the Seller has received, or is entitled to retain, the agreed customer payment. Placement alone does not make an order completed. Genuine cancellations before fulfillment and fully refunded orders are excluded. Partial fulfillment or refunds reduce the eligible value accordingly.

4. Commission calculation

Commission = eligible completed order value × 10%. For this initial version, eligible value means the net value of products sold after legitimate discounts, cancellations and refunds, excluding separately itemized shipping charges and separately stated statutory taxes. If charges are bundled into an indivisible selling price, the recorded product selling price applies unless a documented allocation is agreed.

Example: An eligible ₹1,000 order produces ₹100 commission. A verified ₹400 refund reduces the retained value to ₹600 and commission to ₹60. If an already-invoiced order is later legitimately refunded, a corresponding credit or adjustment is made in a subsequent invoice or final reconciliation.

5. Order reporting

Initially, Seller-confirmed order statuses and records in Ente Peedika form the basis of billing. Sellers must promptly and truthfully record fulfillment, cancellations, refunds and payment status; preserve reasonable supporting evidence; and correct mistakes. Ente Peedika may later introduce payment integrations and automated verification without changing the agreed percentage.

6. Monthly invoicing and payment

We issue a monthly statement identifying eligible completed orders, adjustments, the billing period and commission due. Invoices are payable within seven calendar days of issue. Initially payment may be made by UPI to the verified details supplied through official Ente Peedika channels. Additional payment methods may be introduced. A screenshot or UTR alone does not establish receipt; payment is recognized after independent verification.

7. Billing disputes

A Seller disputing an invoice should promptly email [email protected] with the invoice reference, affected orders and evidence. The undisputed amount remains due by its original deadline. We aim to provide a substantive response within seven business days, subject to any mandatory statutory deadlines.

8. Late payment and suspension

We may send reminders for unpaid invoices. If payment remains outstanding 15 calendar days after the due date, we may suspend the public storefront and checkout. Outstanding fees survive suspension. Reactivation requires verification of payment and resolution of any other restriction. Account data is retained for potential recovery in accordance with the Privacy Policy.

9. No commission evasion

Sellers must not falsely mark completed orders as cancelled, fabricate refunds, conceal completed sales, manipulate order values or instruct customers to cancel an order on the Platform while completing the same sale outside it to evade commission. Genuine cancellations and refunds are permitted and must be recorded accurately.

10. Verification and customer contact

We may review suspicious cancellation patterns, request evidence and explanations, and—where lawful and reasonably necessary—contact affected customers to verify whether an order was completed or cancelled. Verification is limited to legitimate fraud-prevention, billing and dispute purposes under the Privacy Policy. A high cancellation rate alone is not proof of fraud.

11. Investigations and consequences

We will consider available records and the Seller's response before a final finding, except where urgent protective restrictions are necessary. Deliberate evasion may result in corrected invoices, recovery of unpaid commissions, feature restrictions, suspension or permanent termination. Serious or repeated manipulation, including inducing false customer cancellations, may justify permanent termination. Sellers may request reconsideration with supporting evidence. Valid outstanding amounts remain payable after termination.

12. Seller verification

We may manually request reasonably necessary identification, ownership, business or authorization documents. Sellers must provide accurate information when lawfully requested. Failure to cooperate may result in restrictions. Documents will be processed under the Privacy Policy and applicable law.

13. Customer transactions and seller obligations

Customers ordinarily pay the Seller directly. Ente Peedika does not ordinarily collect customer purchase proceeds. Sellers remain responsible for products, fulfillment, shipping, customer service, returns, refunds, replacements, accurate records and applicable taxes and disclosures. Paying commission does not transfer product-sale responsibilities to Ente Peedika.

14. Taxes

Sellers remain responsible for taxes on their own product sales. Taxes on Ente Peedika's service fees will be handled and disclosed as legally applicable. Ente Peedika will not represent itself as GST-registered or issue GST tax invoices unless properly registered and authorized.

15. Closure and final settlement

A Seller may request plan or store closure. Closing the account does not erase commission already earned on eligible orders. We may reconcile outstanding completed orders, valid refunds, adjustments and invoices before final settlement. Eligible records may be exported, and remaining information handled under the Privacy Policy.

16. Changes and pricing protection

We ordinarily provide 15 days' advance notice for material non-urgent changes; urgent legal or security changes may take effect sooner. The Seller's agreed commission percentage will not increase without express acceptance. Where required, an updated version will require new acceptance.

17. Liability, law and disputes

The Ente Peedika Terms & Conditions apply alongside this Agreement, subject to mandatory law. Indian law governs this Agreement. Disputes are handled by courts or authorities with jurisdiction under applicable law; statutory rights and remedies remain unaffected.

18. Electronic acceptance and contact

By selecting the commission plan and affirmatively accepting this Agreement, the Seller acknowledges the 10% commission, monthly invoicing, seven-calendar-day payment deadline, potential suspension after 15 days overdue, accurate reporting duties and consequences of deliberate evasion. Acceptance may be recorded electronically with date, time, seller account and document version.
